Overview

Francesco Paolo Maria Abbadessa is an associate in the Milan office, with experience on Italian and cross-border transactions in Corporate, M&A and Private Equity as well as Equity and Debt Capital Markets, in a range of sectors, including, among others, financial services, industrial and manufacturing, technology, life sciences and healthcare, luxury, energy, retail and consumer.

Francesco advises financial sponsors and industrial players in public and private deals and joint ventures, both on the buy-side and on the sell-side. He also assists companies, financial institutions and funds on tender offers and issuers and underwriters in ECM extraordinary transactions such as IPOs and follow-on equity offerings.

Francesco started his working experience at White & Case as a legal intern in June 2019 and then joined the Firm as a trainee in March 2021.

Corporate and M&A

Private equity firm Summit Partners and other shareholders, including management, in connection with the sale of CluePoints SA to EQT. CluePoints is a provider of AI-based software for risk-based monitoring and data quality oversight of clinical trial studies. Summit Partners, an investor in CluePoints since 2020, and Clinimetrics SA, a co-founder of CluePoints, will retain minority stakes.

Accelleron Industries AG, leading developer and producer of turbochargers, in connection with its €103 million acquisition of Officine Meccaniche Torino S.p.A., a leading manufacturer of fuel injection systems for marine engines.

Arbos Group S.p.A. in connection with its sale of MaterMacc S.p.A., an Italian manufacturing company known for precision seeding technology, mechanical and pneumatic seeding technology, chopping technology and other OEM components, to Pöttinger, an Austrian company specializing in grassland management, arable farming and digital agricultural technology.

Mediobanca S.p.A. as listing agent in connection with a change in Technoprobe S.p.A.'s listing from Euro Growth Milan Exchange to Euronext Milan.

Società di Progetto Brebemi S.p.A. in connection with a consent solicitation addressed to the holders of its outstanding €1.205 billion Class A3 senior secured zero coupon notes due 2042.

BFF Bank S.p.A. in connection with its €150 million 5.875% Additional Tier 1 notes issuance. The notes have been listed on the MTF of Euronext Dublin and offered and sold pursuant to Regulation S under the Securities Act.

Adler Pelzer Holding GmbH in connection with the issuance of €75 million 4.125% senior secured notes due 2024, to be added to its outstanding €350 million 4.125% senior secured notes due 2024, issued pursuant to Rule 144A and Regulation S under the US Securities Act. The notes will be listed on the Euronext Dublin Global Exchange Market.

Financial Restructuring and Insolvency

Design Manufacturing S.p.A., Dema Apulia Region S.r.l. and C.A.M. S.r.l. (the Dema Group) in connection with the structuring and filing of an agreement with creditors (concordato preventivo) on a going concern basis, which received approval from the Court of Naples on February 21, 2024 as a result of the court's positive assessment of the conditions for the cross-class cram down.
