Biography
Overview
Alessandro Zappasodi has over 20 years of experience in the financial regulatory sector. He advises banks, asset managers, insurance companies, non-banking financial intermediaries and other regulated entities on day-to-day regulatory matters, transactions and the structuring and implementation of regulatory-driven financing transactions, business models, as well as on litigation and sanction proceedings brought by the relevant supervisory authorities. Alessandro also advises international and domestic investors on the establishment of Italian-regulated entities and on the acquisition and sale of such entities.
Alessandro is recognized as a Leading Individual in Bank Regulatory by The Legal 500 2024. According to The Legal 500, clients describe him as "an excellent lawyer", and "able to navigate complex international organisations with several stakeholders in different departments."
Before joining the Firm in 2021, Alessandro worked for several years at an Italian top-tier firm in Milan, in which he was partner and head of the financial regulatory practice. Prior to that, he worked for over a decade at an Italian leading firm in Rome, New York and Milan, where we was promoted partner in 2015.

Alessandro advised Banca Monte dei Paschi di Siena S.p.A. in connection with the U.S. law aspects of its €2.5 billion rights issue pursuant to Regulation S and Rule 144A under the U.S. Securities Act.
Intesa Sanpaolo and Equiter's agreements with the European Investment Bank
Alessandro advised Intesa Sanpaolo Group and Equiter, an Italian independent advisory company, in connection with the structuring, negotiation and execution of operational agreements with the European Investment Bank (EIB) regulating the receipt and investment of NRRP funds by two special purpose entities of the Intesa Sanpaolo Group (SPEs).
De Agostini's €128 million VTO on DeA Capital
Alessandro advised Nova S.r.l., a company entirely controlled by De Agostini S.p.A., in connection with the voluntary tender offer on all the ordinary shares of DeA Capital S.p.A. for a total value of approximately €128 million. The takeover bid is aimed at the delisting of DeA Capital S.p.A.
BFF's €150 million notes issuance
Alessandro advised BFF Bank S.p.A. in connection with the regulatory aspects of its €150 million 5.875% Additional Tier 1 notes issuance. The notes have been listed on the MTF of Euronext Dublin and offered and sold pursuant to Regulation S under the Securities Act.
Snatt Logistica's sale of 20 logistics assets
Alessandro advised Snatt Logistica, a leader in logistics services for the fashion industry, and Log.Int S.r.l., Log.Int Real Estate and Log.Int 2 Real Estate, in connection with the regulatory aspects of the sale to Hines, a leading real estate investor, of 20 Italian logistics assets located in Emilia-Romagna and Lombardy (Italy).
Intesa Sanpaolo's €5.5 billion VTO on UBI Banca
Alessandro advised Intesa Sanpaolo in connection with the financial regulatory issues relating to the launch of a €5.5 billion voluntary public exchange offer on 100 per cent shares of UBI Banca and, in such context, the transfer of approximately 600 branches of UBI Banca and Intesa Sanpaolo to BPER Banca.
Fideuram's acquisition of REYL & Cie
Alessandro advised Fideuram – Intesa Sanpaolo Private Banking, in connection with certain selected financial regulatory aspects regarding the acquisition of a 69 per cent interest in REYL & Cie SA, Swiss bank focused on private banking services.

Alessandro advised Intesa Sanpaolo Vita on the insurance regulatory aspects of the acquisition of 50.1 per cent shares of RBM Assicurazione Salute.

Alessandro advised Fondo Ricerca e Innovazione (RIF), an investment vehicle wholly owned by Intesa Sanpaolo, and Equiter, as RIF sole advisor, in connection with a €124 million operational agreement with the European Investment Bank (EIB) for the investment of European structural funds in eligible research and innovation projects.
