Overview

Maciej Zalewski focuses his practice on corporate and commercial law, with an emphasis on Polish and international M&A and complex real estate transactions such as construction investments, project financing, procurement and arbitration. His experience also includes advising on large public and defense procurements, offset projects and industrial cooperation programs.

Experience

Octopus Renewables Infrastructure Trust: representation of Octopus Renewables Infrastructure Trust (ORIT) on the sale of the Krzecin and Kuslin onshore wind farms in Poland to ORLEN Wind 3, an affiliate of public Polish multi-energy company ORLEN, and refinance existing indebtedness of the project companies. ORIT, an investment trust listed on the London Stock Exchange focused on renewable energy assets across Europe, the UK and Australia, expects to receive net proceeds of between PLN 470 million and PLN 490 million after deducting debt and hedging costs. ORLEN has agreed to provide a loan to repay the existing bank debt secured against the Krzecin and Kuslin wind farms, which have a combined capacity of 59 MW.

Korea Aerospace Industries: representation of Korea Aerospace Industries, a South Korean aerospace and defense company, on the negotiation and signing of two executive contracts with the Ministry of National Defense of Poland in September 2022 for the supply of FA-50 aircraft to the Polish air force.

Hanwha Defense: representation of Hanwha Defense, the largest defense company in South Korea, on the framework contract signed with the the Ministry of National Defense of Poland in July 2022 for the supply of K9 self-propelled howitzers to the Polish army, and the first executive contract signed with the ministry of National Defense of Poland in August 2022. The signed executive contract implements the first phase of the framework contract.

Octopus Renewables Infrastructure Trust: representation of Octopus Renewables Infrastructure Trust on the acquisition of the Krzecin and Kuslin onshore wind farms being constructed in Poland with a combined capacity of 59 MW from the PNE Group, a German developer of wind projects in Europe. The projects are financed by the EBRD and BayernLB.

GLP: representation of GLP, a leading global company specializing in logistics real estate, data centers, renewable energy and related technologies, on the acquisition of the 7R City Flex Gdańsk II warehouse park from 7R, a developer specializing in the construction of high-quality warehouse and production space. The facility, currently fully leased by Euronet Polska, Frisco, and KTD Wyposażenie Obiektów Handlowych, is approx.11,500 square meters and located near Gdańsk close to the A1 motorway and the intersection with the S7 expressway.

GLP: representation of GLP on leasing a facility in the Łódź East logistics park. The facility was leased to Castorama, the largest chain of home improvement stores in Poland, selling construction and finishing products online and in 90 brick and mortar stores across the country. The building in the Łódź East complex intended for Castorama’s activity includes a warehouse and office space with a total area of 36,000 sqm.

Funds managed by Octopus Renewables: representation of funds managed by Octopus Renewables on the acquisition of a Polish wind farms portfolio of rated power of approx. 45 MW from OX2, a Swedish developer and seller of wind and solar farms.

GS Engineering & Construction Poland: representation of GS Engineering & Construction Poland sp. z o.o. in connection with a joint venture development project of a warehouse property in Lower Silesia. The project, with an area of 200,000 sqm, which is being constructed close to some of the largest warehouses and factories of companies operating in the e-commerce and electric vehicle sectors in Europe, is to comprise five buildings intended to serve both warehousing and light industrial purposes, while around 14,000 sqm is to be office space.

Global Compute Infrastructure: representation of Global Compute Infrastructure on the acquisition of ATM S.A., one of the largest data center operators and communications infrastructure businesses in Poland and CEE, from a consortium of funds.

Emperia Holding: representation of Emperia Holding S.A., a Maxima Grupe UAB company, in connection with the sale of its subsidiary, Infinite Sp. z o.o., to DialCom24 Group (co-owner of Przelewy24), which specializes in the development and provision of financial and payment services for business and individual clients.

Lockheed Martin Corporation: representation of Lockheed Martin Corporation in connection with Harpia Program for F-35 aircraft delivery to Polish Ministry of Defense.

Lockheed Martin: representation of the client in connection with the largest offset program in the world (Polish F-16), as well as related projects and transactions.
