Overview

Lauren is a partner in the Global Debt Finance Practice.

Lauren's practice focuses on cross-border and UK acquisition finance and restructurings, advising investment banks, alternative credit providers, corporate borrowers and private equity sponsors on a variety of debt capital structures in the European large-cap and mid-cap markets. She advises on all major financing structures, including syndicated cov-lite financings, unitranche financings, second-lien loan financings and super-senior revolving credit facility and high yield bond financings, as well as subordinated instruments including holdco financings.

Experience

Representative transactions include advising:

  • the mandated lead arrangers on the financing to support the approximately €13 billion public-to-private acquisition of Italian infrastructure group Atlantia by Blackstone and Edizione*. This deal won "Loan Deal of the Year 2023" at the IFLR Europe Awards;
  • the lenders on the financing to support the co-investment by a consortium of investors in Italian Serie A football club Atalanta BC*;
  • the lenders on the financing to support the acquisition of EcoOnline by Apax Partners*;
  • the lenders of the holdco PIK notes financing to support the acquisition / recapitalisation of Hg's majority stake in Visma, a Norwegian business software and IT development group;
  • the lenders on the financing provided for US-based aerospace UK defense supplier Cobham's public-to-private bid to acquire Uk competitor, Ultra Electronics; and
  • the mandated lead arrangers and global coordinators on the US$3.5 billion bank and bond financing for Bain Capital's acquisition of a majority stake in Kantar*.
