Biography
Overview
Frederic is a local partner in our global M&A/ and corporate practice group in the Firm's Frankfurt office.
His practice focuses on representing acquirers, target companies and selling shareholders in a wide range of domestic and cross-border public and private M&A transactions. He also advises clients on securities law and general corporate matters, such as shareholder meetings and post-transaction corporate measures. Clients in particular benefit from his deep experience in advising bidders, targets and banks in public takeover situations.
Prior to joining White & Case, he practiced at two other leading international law firms in Frankfurt am Main.
Experience
Advising commercial and industrial decentralized energy solutions provider ENVIRIA Energy Holding GmbH (ENVIRIA) on a capital commitment of over US$200 million from BlackRock through its Global Renewable Power Fund IV. ENVIRIA offers solar solutions for companies in the commercial and industrial space with a projected development pipeline of over 2,000 projects across Germany and a projected generation capacity of 2.3GW.
Advising OHB SE, a space and technology company, in connection with the voluntary public takeover offer by KKR, valuing OHB at approx. €1 billion (including debt).*
Advising Faurecia SE, a leading French automotive supplier on strategic options in dealing with an activist investor after a voluntary completed public takeover of Hella GmbH & Co. KG and possible post-closing integration measures.*
Advising CTP N.V., a leading holding and management company for industrial real estate in Central and Eastern Europe, on its combined voluntary public takeover and delisting offer to all shareholders of Deutsche Industrie REIT-AG (DIR), valuing the equity of DIR at approx. €800 million, and the subsequent cross-border merger.*
Advising Centerbridge Partners in connection with the voluntary public takeover offer for Aareal Bank AG (together with Advent International), valuing Aareal Bank at €1.74 billion for 100% of share capital.*
Advising Rocket Internet SE, an incubator of technology companies, on its public self-tender delisting offer for all of its outstanding shares, valuing the company at some €2.5 billion.*
Advising Morgan Stanley Infrastructure on the squeeze-out of minority shareholders of VTG Aktiengesellschaft, a fright waggon rental company.*
Advising Deutsche Wohnen SE, the second largest residential housing company in Germany, on the €19 billion voluntary public takeover of Vonovia SE and subsequent post-closing integration measures to form a combined group.*
Advising Covivio SA, a leading real estate company in France, in its €1.2 billion voluntary public takeover offer for all shares in Godewind Immobilien AG.*
Advising TLG IMMOBILIEN, a commercial real estate company, in its €25 billion business combination with Aroundtown, including voluntary public takeover and subsequent post-closing integration measures to form a combined group, including a voluntary public delisting offer.*
