Overview
Alessio Marano is member of the White & Case Italian practice. His main areas of practice are Equity and Debt Capital Markets and Corporate, including private and public M&A.
Prior to joining White & Case in November 2022, he practiced in a major international law firm in Milan in the Corporate department.
Experience
Corporate M&A
Private equity firm Summit Partners and other shareholders, including management, in connection with the sale of CluePoints SA to EQT. CluePoints is a provider of AI-based software for risk-based monitoring and data quality oversight of clinical trial studies. Summit Partners, an investor in CluePoints since 2020, and Clinimetrics SA, a co-founder of CluePoints, will retain minority stakes.
Datalogic S.p.A., an Italian company listed on the Italian Stock Exchange and a world leader in the sectors of automatic data acquisition and industrial automation, in connection with the US$34 million sale of Informatics Holdings Inc. to a company controlled by US private equity fund Renovo Capital LLC.
Infracapital, the infrastructure equity investment arm of M&G plc, and funds managed by independent French investment company InfraVia Capital Partners, co-shareholders of Gruppo Investimenti Portuali, in connection with the sale of 100 percent of the share capital in Terminal Darsena Toscana S.r.l. to the Grimaldi Group.
Eni S.p.A. in connection with its agreement to acquire Neptune Energy Group Limited, a leading independent exploration and production company with a portfolio of gas-oriented assets and operations in Western Europe, North Africa, Indonesia and Australia, for a total value of US$4.9 billion.
Andrea Tagliabue and Alfredo Tagliabue in connection with the sale of the entire share capital of Tagliabue Gomme Gross S.r.l., one of the leading Italian distributors of tires in Italy, to Global Automotive Investments Holding B.V., a leading player in the European tires and wheel distribution based in the Netherlands.
Capital Markets
A pool of banks led by Goldman Sachs International and UniCredit, as initial purchasers, in connection with the debut issuance of €360 million senior secured floating rate high yield notes due 2031 by CEME S.p.A., portfolio company of InvestIndustrial and global leader in the production of vibration pumps and solenoid valves. The notes have been offered and sold pursuant to Rule 144A and Regulation S under the US Securities Act listed on the Luxembourg Stock Exchange and admitted to trading on the Euro MTF market.
International Game Technology PLC in connection with the issuance of its €500 million 4.250% senior secured notes due 2030. The notes have been offered and sold pursuant to Rule 144A and Regulation S under the US Securities Act, listed on the Official List of Euronext Dublin and admitted to trading on the Global Exchange Market of Euronext Dublin.
The joint bookrunners in connection with Eni's US$2.25 billion yankee bond issuance. The issuance consists of US$1 billion 5.5% notes due 2034 and US$1.25 billion 5.95% notes due 2054, issued pursuant to Rule 144A and Regulation S under the US Securities Act.
Piaggio & C. S.p.A. in connection with the issuance of €250 million, 6.5% senior unsecured notes due 2030. The notes have been offered and sold pursuant to Rule 144A and Regulation S under the US Securities Act and listed on the Luxembourg Stock Exchange. Proceeds of the notes have been used to refinance Piaggio's outstanding €250 million senior notes due 2025 issued in 2018.
Adler Pelzer Holding GmbH in connection with the capital markets and financing aspects of its issuance of €400 million 9.500% senior secured notes due 2027 and a new €55 million super senior revolving credit facility.
