White & Case Advises Screaming Eagle Acquisition Corp. on its Business Combination with the Studio Business of Lionsgate

Global law firm White & Case LLP has advised Screaming Eagle Acquisition Corp., a special purpose acquisition company (SPAC), on its agreement to combine with the studio business of Lionsgate, which comprises its Television Studio and Motion Picture Group segments and one of the world's most valuable film and television libraries, to launch Lionsgate Studios Corp. (Lionsgate Studios). The Firm also advised Screaming Eagle on obtaining commitments from leading mutual funds and other investors for a US$175 million PIPE in connection with the transaction.
The business combination values Lionsgate Studios at an enterprise value of approximately US$4.6 billion.
This is the eighth SPAC sponsored by the Eagle Equity Partners team, led by Harry E. Sloan, Jeff Sagansky and Eli Baker, for which the White & Case SPAC team has advised on both its initial public offering and business combination transaction.
