White & Case advises Italian Ministry of Economy and Finance on the acquisition of Sparkle from TIM

Global law firm White & Case LLP has advised the Italian Ministry of Economy and Finance (MEF) and Boost BidCo, a corporate vehicle controlled by MEF and participated by Retelit, on the acquisition of Sparkle from TIM.

TIM and Boost BidCo have signed an agreement for the sale of Sparkle based on the binding offer submitted by Boost BidCo and approved by TIM's board of directors on February 12, 2025, following a favorable opinion from the related-party committee.

The transaction, assessed in accordance with regulations governing related-party transactions, attributes Sparkle an enterprise value of €700 million. Closing is expected by the fourth quarter of 2025, subject to the completion of preparatory steps including Antitrust clearance and Golden Power authorization.
