White & Case Advises Cellebrite on Its Merger with TWC Tech Holdings II Corp.

Global law firm White & Case LLP has advised Cellebrite, the global leader in Digital Intelligence ("DI") solutions for the public and private sectors, on its merger with TWC Tech Holdings II Corp, a publicly traded special acquisition company.
The transaction gives the combined entity an implied pro forma equity value of approximately US$2.4 billion and includes a US$300 million private investment in public equity, or PIPE, purchase of shares from existing investors. As a result of the transaction, Cellebrite will become a publicly listed company on the Nasdaq under the new ticker symbol, "CLBT."
