Recognised as a global leader in her field, Rebecca's breadth of experience, gained as in-house counsel at BHP and in private practice at top law firms in Australia, New York and London, has forged her wide understanding of the sector.

Rebecca is known for her unparalleled global knowledge of the commercial, technical and political aspects of the mining and metals sector and her ability to deftly integrate these with the legal considerations on any given matter for her clients. Rebecca is an active participant in sector-shaping initatives on topics such as tailings and global standards, currently acting as a commissioner for the Global Investor Commission on Mining 2030.

Experience

Project Development and Financing

Representation (ongoing) of the sponsor on all aspects of the project financing of the Vulcan Zero Carbon Lithium Project in Germany, which includes an integrated geothermal lithium brine extraction plant. We are advising on the equity arrangements, permitting, land access, construction, supply, offtake and other project documents.

Representation of the Bank of Montreal, London Branch ING Bank, HSBC Bank plc and Nedbank Limited in connection with a US$150 million secured, sustainability linked revolving credit facility (with an additional US$50 million uncommitted accordion facility) being provided to Centamin Plc. This is a first sustainability linked international project financing the Egyptian mining sector.

Representation (ongoing) of Ivanhoe Mines in connection with US$450 million project financing, including senior debt, of the Platreef platinum-nickel-palladium-gold-copper-rhodium project in South Africa. The transaction includes Orion Mine Finance US$300 million streaming facility.

Representation of Vale Base Metals Capital plc, as Borrower, and Vale Base Metals Limited, Vale Canada Limited, and Salobo Metais S.A., as Guarantors, in connection with a US$1.5 billion Term Loan Facility (2024 club loan).

Representation of Atlas Lithium on financing and project development activities, including a royalty from Lithium Royalty Company and an ongoing offtake process with EV and battery OEMs (ongoing).

Representation (ongoing) of the lenders (Natixis, BNPP, SocGen, Credit Agricole, ING, IFC and DFC) to Compagnie des Bauxites de Guinee (CBG).

M&A/Strategic Joint Ventures

Representation (ongoing) of Saudi Aramco in its strategic joint venture with Ma’aden to explore for and develop transition minerals projects in the Kingdom of Saudi Arabia.

Representation of Ivanhoe Electric on the formation of a JV with Ma'aden, including an exploration JV in the Kingdom of Saudi Arabia utilising Ivanhoe Electric’s exploration technology Typhoon™. Ma'aden acquired a 9.9% equity stake in Ivanhoe Electric amounting to a US$126.4mn strategic investment.

Representation of Ivanhoe Mines in its exploration joint venture with Pallas Resources in Kazakhstan.

Representation of Emirates Global Aluminium on it acquisition of the German aluminium recycling company Leichtmetall.

Representation of GNRI and the other sellers of Khoemacau in Botswana in a deal worth US$1.875 billion.

Representation of Vale on its disposal of the Moatize coal mine and the Nacala rail / port corridor located in Mozambique and Malawi to Vulcan Minerals.

Representation of Ivanhoe Mines in connection with the Kipushi zinc-copper project, including negotiation of revised arrangements with Government partner Gecamines and in connection the company's Western Forelands tenements, all in the Democratic Republic of Congo.

Representation of Newmont Mining Corp., on its US$10 billion acquisition of Goldcorp, and on its $32 billion acquisition of Newcrest.

Governments and Regulatory Reform

Representation of the Islamic Republic of Pakistan, the Regional Government of Balochistand and an SOE consortium (GHPL, OGDCL, PPL) in reconstitution of the Reko Diq copper-gold project in Balochistan, settling an $11bn ICSID arbitration with Barrick Gold and Antofagasta. The negotiated reconstitution of the project avoided a large settlement and enabled a new JV structure in partnership with Barrick Gold, Balochistan and the SOE consortium to develop the project in the future.

Representation of Konkola Copper Mines and its minority shareholder ZCCM Investment Holdings (the mining investment company of the Zambian government), in the negotiations for the withdrawal of Konkola Copper Mines from provisional liquidation and ultimately the return of the majority shareholder, Vedanta Resources Holdings Limited, as controlling shareholder.

Representation (ongoing) of the Ministry of Mineral Resources and Industry of the Kingdom of Saudi Arabia regarding an array of mineral policy and mineral regulatory reform projects.
