Overview
Mathias specializes in structuring, drafting and negotiating complex commercial agreements, often cross-border, with particular expertise in the area of technology agreements. This includes all types of sourcing transactions (such as IT outsourcing, BPO, system integration, cloud-related agreements and license agreements), commercial arrangements (e.g., manufacturing, supply, distribution, agency or reseller agreements) and joint ventures and other types of cooperation agreements with a focus on technology-related cooperations.
Clients benefit from his understanding of the underlying commercial, technical and regulatory implications in these types of transactions, in particular with respect to the financial industry.
He also advises clients on IP-related matters with a focus on software and data.
Mathias has significant expertise with regards to intellectual property, information technology and data protection aspects of M&A transactions, in particular with respect to carve-outs.
Experience
Advised Pollen Street Capital (PSC) on its intended acquisition of Etops Group AG (Etops Group).
Advised ABN AMRO Bank N.V. (ABN AMRO) on its acquisition of Hauck Aufhäuser Lampe Privatbank AG (Hauck Aufhäuser Lampe) from Fosun International Limited, which is subject to regulatory approvals.
Advised the international private equity investor Battery Ventures (Battery) on the acquisition of steute Technologies GmbH & Co. KG (steute), a developer and manufacturer of switches, sensors and other products for medical and industrial applications.
Advised Merck KGaA, Darmstadt, Germany (MKDG), a leading science and technology company, on the agreement to acquire life science company Mirus Bio for US$600 million.
Advised Tier Mobility on the sale of nextbike to Star Capital. The sale was preceded by a spin-off of nextbike that was driven by differences in business and operating models.
Advised Battery Ventures-backed Proemion Holding GmbH, a global provider of advanced data and analytics technology for mobile industrial equipment, on the acquisition of TrendMiner NV, an industrial analytics company of Software AG.
Advised apparel and e-commerce companies Zalando and H&M on a development financing round for Finland-based circular fashion and textile technology group Infinited Fiber Company Oy (Infinited Fiber).
Advised a Prax Group, a multinational, independent energy group on its acquisition of OIL! Tankstellen GmbH, a petrol station operator with subsidiaries and activities in Germany, Switzerland, Austria and Denmark, from Mabanaft GmbH & Co. KG, an energy company belonging to the Marquard & Bahls Group.
Advised Morgan Stanley Infrastructure Partners, a global leader in private infrastructure equity investing, on the largest infrastructure private equity and the largest private equity deal in Germany in 2022.
Advised E.ON SE on the establishment of a joint venture with Igneo Infrastructure Partners to accelerate expansion of high-speed broadband networks, 2022.
Advised a leading car manufacturer regarding the setup of a new global cloud-based HR system, 2023.
Advising a German industrial company on the transition of essential corporate software into the cloud (including ERP-software), 2023.
Advised a leading German bank on the identification and implementation of amended outsourcing requirements from EBA and BaFin, 2022.
Advised German neobank on a project to identify and implement changes in regulatory and data protection requirements (keyword: Schrems II) for outsourcing relationships in contractual and procedural terms, 2021/2022.
Advising a leading German financial services group on the IT separation of core business functions (including the negotiation of contracts with third party suppliers), since 2021.
Advised Eco-Bat Technologies on the acquisition of Promesa, a battery recycling business situated in Germany near the first German Tesla factory and Germany's biggest lithium battery factory, both still being under development, 2021.
Advised Faurecia S.E. on its public takeover offer to the shareholders of HELLA GmbH & Co. KGaA in the form of a cash offer and the separate acquisition of HELLA shares held by the family shareholder pool resulting in an overall transaction value of approx. EUR 6.8bn, 2021.
Advising a German industrial company on the procurement of telecommunications services for a large number of countries and corresponding contract negotiations with a majority of providers (across three generations of those services, including service transformations and switches of vendors), 2020.
