Overview

Jane Kim is an associate in the Mergers & Acquisitions Practice Group, and is resident in the New York office. Ms. Kim focuses on the representation of corporate clients and private equity funds in connection with domestic and global mergers, acquisitions and equity investments in a broad range of industries. Ms. Kim also has broad experience advising distressed companies and holders of distressed debt on distressed M&A transactions.

Selected experience includes the representation of:

  • Jersey Mike's Subs, a leading franchisor of fast-casual submarine sandwich stores in the United States, in the sale of a majority ownership position in Jersey Mike's to private equity funds managed by Blackstone.
  • Brookfield in its joint venture with Digital Realty and Reliance Industries focused on the development, ownership and operation of institutional quality data centers in India.
  • Hertz Global Holdings, Inc. (OTCPK:HTZGQ) in connection with its carve out sale of its Donlen fleet management business for approximately $900 million to Athene Holding Ltd., an affiliate of Apollo Global Management, under Section 363 of the Bankruptcy Code.
  • Altria Group , Inc. in (i) its acquisition of NJOY Holdings, Inc., giving Altria ownership of NJOY's e-vapor product portfolio, for US$2.75 billion in cash payable at closing with an additional US$500 million in cash payments that are contingent upon regulatory outcomes with respect to certain NJOY products, and (ii) the US$1.2 billion sale by its subsidiary, UST LLC, of its Ste. Michelle Wine Estates (Ste. Michelle) business to Sycamore Partners Management, L.P.
  • CVC Capital Partners in its acquisition of a majority stake in MedRisk, a leading provider of managed physical medicine services for the workers' compensation industry in the United States.
  • Certares, a leading private equity firm focused in the travel, tourism and hospitality sectors, in the sale of Guardian Medical Monitoring, a subsidiary of Guardian Alarm, to Modivcare Inc. (Nasdaq: MODV), a technology-enabled healthcare services company.
  • Athyrium Capital Management, in its acquisition of RVL Pharmaceuticals, Inc., a specialty pharmaceutical company that develops and sells eyecare and medical aesthetics products, and its subsidiary, through a Chapter 11 restructuring plan.
  • Dominus Capital in the sale of Cincinnati Fan & Ventilator, a manufacturer of industrial fans and blowers.
  • Elementis Plc, a global specialty chemicals company, in its US$170 million sale of its chromium business to Yildirim Group.
  • CION Investments in its acquisition of David's Bridal out of Chapter 11.
  • Surgalign Holdings, a publicly traded, global medical technology company, in its Chapter 11 cases.
  • Elliott Management, a Tranche B DIP Lender in the Chapter 11 cases of Avianca Holdings S.A., the largest airline in Colombia, in the conversion of $900 million in DIP obligations into, and the contribution of $200 million of additional capital in exchange for, equity in reorganized Avianca.
  • Radial Power LLC in its acquisition of certain solar projects from OYA Renewables Development LLC, a developer of large-scale commercial solar projects and an independent power producer, under Section 363 of the Bankruptcy Code.
  • Strike, LLC, a leading full-service pipeline, facilities, and energy infrastructure solutions provider, on the successful sale of substantially all of its assets to American Industrial Partners for over $115 million.
  • PWM Property Management LLC in the sale of its interests in the commercial office tower located at 245 Park Avenue in New York City to an affiliate of SL Green Realty Corp., the largest landlord in Manhattan.
  • Qatar Investment Authority, the sovereign wealth fund of the State of Qatar, in its co-investment with a consortium led by Tencent Holdings Ltd. and its affiliate Tencent Music Entertainment Group (NYSE: TME) in the acquisition of a 10% stake in Universal Music Group, the world's largest music company, from Vivendi S.A.
