Biography
Overview
Hamzeh is an associate in the Firm's mergers & acquisitions and capital markets group in Dubai. Hamzeh specialises in conventional and Islamic equity capital markets and represents corporates, financial institutions and quasi-sovereign entities.
Hamzeh has experience on cross-border mergers and acquisitions and private equity transactions representing buyers and sellers internationally and across the Middle East. He has experience in working across the GCC, where he advises both the issuers and managers.
Experience
Advised Saudi Aramco in connection with the secondary public offering by the Government of the Kingdom of Saudi Arabia of US$11.2 billion (excluding the overallotment option) of ordinary shares of Saudi Aramco. The offering was the largest secondary offering in EMEA since 2000 and the largest ECM offering in the Middle East, after Saudi Aramco's IPO in 2019.
Advised Dr. Soliman Abdel Kader Fakeeh Hospital Company (Fakeeh Care Group), an integrated healthcare services provider in Saudi Arabia, on its listing on the Main Market of the Saudi Exchange (Tadawul).
Advised Morgan Stanley Saudi Arabia and BSF Capital (formerly Saudi Fransi Capital) as joint financial advisors, underwriters and bookrunners on the initial public offering and listing on the Main Market of the Saudi Exchange (Tadawul) of Rasan Information Technology Company, a leading fintech and innovator in Saudi Arabia's insurance industry.
Advised Western Union on its US$ 200 million equity investment in STC Pay and the issuance of a digital bank licence for STC Pay (the first digital bank licence in Saudi Arabia).*
Advised Gulf Investment Corporation on its sale of 35% interest in Sudair Pharmaceutical Company to Al Hammadi Company for Development and Investment.*
Advised Samsung C&T Corporation on its sale of a 9.98% interest in Qurayyah Investment Company to Qurayyah Project Company for US$ 25 million and a call and put option agreement in connection with the remaining shareholding interest held by Samsung C&T Corporation.*
Advised Aramis Partners and Ashmore GCC Education Fund on their US$ 60 million acquisition of educational facilities in Saudi Arabia.*
Advised the Saudi Jordanian Investment Fund on the structuring and establishment of an investment arm and their subsequent US$ 24 million investment in OpenSouq.com.*
Advised Nazer Group on the sale of a minority interest in Bupa Arabia, a public insurance company listed on the Saudi Stock Exchange, to Bupa International for US$ 135 million.*
Advised the founder of a gourmet food delivery start up on the sale of the entire share capital of the company to Delivery Hero for US$ 25 million.*
Advised Gulf Japan Food Fund on its US$ 30 million acquisition of interests in Karam Beirut Restaurants.*
Advised Masdar on the sale of the entire share capital of Masdar City District Cooling Company to the National Central Cooling Company PJSC (Tabreed).*
Advised Aramex PJSC on its US$ 80 million acquisition of the entire share capital of Saudi TAL for Commerce and Contract Company Ltd.*
Advised a Real Estate Investment Trust on the IPO and listing on Dubai Financial Market.*
Advised a regional investment bank on the dual listing of an Exchange Traded Fund on Nasdaq Dubai.*
Advised Emirates NBD REIT on the Nasdaq Dubai IPO and US$ 105 million fundraising including a complex re-domiciliation of the REIT from Jersey to the DIFC.*
