Biography

Overview

Emma Foster is a partner in the Firm's Debt Finance and Restructuring Group and joined the London office in 2006. Her experience includes advising banks and other financial institutions in relation to cross-border acquisition finance transactions, restructuring, trade finance and general bank lending. Emma has also worked in White & Case's New York office and has been seconded to two major investment banks in London.

Experience

Advised a club of private credit funds on a senior secured financing for offer by ADIA, CVC Capital Partners and Nordic Capital to acquire leading UK financial services private investment provider Hargreaves Lansdown plc.

Advising Armira Investment Holding, a Germany-based investment holding, on the financing and M&A aspects of its acquisition of Factor Eleven, a leading German digital marketing software company.

Representation of the existing lenders to TES Global on the bolt-on acquisitions of Teach Starter and The Safeguarding Company.

Advising Blackstone, Oak Hill and Barings, as lenders, on the combined debt and equity financing of a structured insurance demerger of Fidelis Insurance Holdings Limited and the existing insurance companies, the Fidelis Insurance Group.  The transaction creates a new Bermuda-based managing general underwriter, Fidelis MGU.

Advising the junior lenders on the financing of the acquisition of Nestle Skin Health, with an enterprise value of CHF10.2 bn, by a consortium led by EQT Private Equity and the Abu Dhabi Investment Authority (ADIA)

Advising the RCF lender on the refinancing of FE Fundinfo by Hg Capital

Advising the unitranche lender on Inflexion’s acquisition of Marley Tiles, a UK roofing specialist

Advising the unitranche lender on Exponent’s acquisition of SHL, a global leader in talent assessment, from Gartner Inc.

Advising the lender on Exponent’s acquisition of the European and Asia-Pacific operations of Scotts Miracle-Gro

Advising a sovereign infrastructure fund on their inaugural debt financing of a Turkish conglomerate

Advising GSO Capital Partners on the unitranche financing of the Polynt/Reichhold merger, owned by Invest Industrial and Black Diamond

Advising GSO Capital Partners LP on its financing of Oaktree Capital Management's acquisition of Ainscough Crane Hire group.

Acting for GSO Capital Partners in connection with its debt and equity financing for the reverse takeover by Ring International Holding AG of the Slovenian-listed company Helios Domžale D.D.

Advising Deutsche Bank, BNP Paribas, Rabobank, ING and ABN Amro, in connection with their financing of the €1.212 billion take-private acquisition by vehicles controlled by Advent International Corporation of shares in Mediq N.V., a Dutch-listed international provider of medical devices and pharmaceuticals.

Advising Deutsche Bank AG, London Branch, J.P. Morgan Limited and the other Arrangers in connection with €1.25 billion and US$1.8 billion of term and revolving facilities for Fresenius SE & Co. KGaA together with additional incremental facilities.

Advising Bank of America, N.A., Paris, Bank of America Securities Limited, Morgan Stanley Senior Funding, Inc. and Morgan Stanley Bank International as Arrangers and Original Lenders in respect of a super senior revolving credit facility and a senior secured bridge facility agreement incorporating high yield style covenants for the acquisition of Ascometal SAS by Captain Bidco SAS, a company owned by funds affiliated with Apollo.
