White & Case advises Mercor on preliminary agreement for more than US$100 million sale of natural smoke exhaust and fire ventilation business to Kingspan Group

Global law firm White & Case LLP has advised Mercor S.A. (Mercor) on the signing of a preliminary agreement for the more than US$100 million sale of shares in its group companies to Kingspan société à responsabilité limitée, a subsidiary of Kingspan Group plc (Kingspan), a leading global manufacturer of building materials.
The companies sold hold assets related to the operation of gravity smoke extraction systems, roof lighting systems and fire ventilation systems in Poland, Spain, the Czech Republic, Slovakia, the UK, Hungary, Ukraine and Romania.
Transaction completion is contingent upon satisfying certain conditions, including in particular Kingspan obtaining the concentration clearance from the relevant antitrust authority, and Mercor obtaining the consent from the company's general meeting on the transfer of an organized part of the enterprise, and finally completing the separation of the assets sold.
Founded in 1988 and listed on the Warsaw Stock Exchange since 2007, Mercor is one of Europe's leading companies in passive fire protection systems.
