Biography
Overview
Zangar Nogaibay is an experienced counsel in White & Case global M&A and Corporate Practice Group based in Astana.
During over 20 years of practical experience he focuses on investment law, subsoil use law, corporate law and private international law.
Additionally, he has a broad experience in advocacy, legislative work, corporate issues, asset restructuring, mergers and acquisitions.
He has successfully defended the interests of international oil and gas companies during his tenure as Chief Legal Officer at the country's largest petroleum industry association.
He established himself as an authority in subsoil use law and advised companies on controversial legal issues in exploration and production of oil and gas.
He has broad experience in interacting with state authorities and participating in the work of high-level advisory bodies on legislative, law enforcement and industry activities (the Interdepartmental Commission on Legislative Work under the Government of the Republic of Kazakhstan, the Scientific Advisory Board under the Supreme Court of the Republic of Kazakhstan, etc.).
In 2015 represented Kazakhstani oil and gas industry as panel discussion member on arbitration issues at an international conference dedicated to the signing of the International Energy Charter (The Hague, office of the International Court of Justice).
In 2015-2017 led the work of group of experts on preparation of oil and gas part in the Subsoil Code.
In 2020-2021 coordinated the work of group of authors on preparation of clause-by-clause Commentary to the Subsoil Code.
In 2021 - 2022 coordinated the work of group of experts on preparation of amendments to the Subsoil Code on a new contract form (improved model contracts) for complex oil and gas projects.
Experience
His recent experience includes:
- representation of Nostrum Oil & Gas PLC (Nostrum), a UK-listed oil and gas company engaging in the production, development and exploration of oil and gas in the pre-Caspian Basin in Kazakhstan, in connection with its financial restructuring of in excess of US$1.125 billion in principal of senior unsecured notes issued by Nostrum and Nostrum Oil & Gas Finance B.V.;
- management of the legal division of "KAZENERGY" Association: *
- protection and representation of the interests of oil and gas companies on legislative work, as well as on controversial matters of law enforcement practice in the field of subsoil use.
- supervising the work on key legislative drafts, including the Subsoil Code, the Environmental Code, the Code on Administrative Offenses, the Criminal Code, the Entrepreneurial Code.
- coordination of the preparation of the National Energy Report "KAZENERGY" - 2015 in collaboration with IHS CERA.
Prior to joining White & Case Zangar was, particularly, an Executive Director (CLO) in "KAZENERGY" Association, Head of Legal in Ministry of Energy and Mineral Resources of the Republic of Kazakhstan, a Deputy Director of Legal and Regulatory Work Department in Sovereign Wealth Fund "Samruk-Kazyna", Head of Legal department in private holding companies in the field of subsoil use and fuel and energy complex.
