Overview
Ran An is an associate in the Mergers & Acquisitions and Private Equity Practice Group, based in Shanghai.
Ran's experience includes advising public and private companies on corporate transactions such as mergers and acquisitions, private equity and venture capital investments, going-private transactions, de-SPAC transactions, investment financings, joint ventures, PIPEs, capital markets transactions, and public company compliance matters.
Prior to joining White & Case, Ran has worked both at a leading Chinese electric vehicle company as an in-house counsel, and at the Beijing office of two leading international law firms, focusing on legal matters of global businesses and cross border corporate transactions.

M&A and PE VC
- ECARX Holdings, Inc. in its US$3.8 billion merger with COVA Acquisition Corp., and as a result of the merger, ECARX Holdings, Inc. became a publicly traded company. *
- Camelot Employee Scheme Inc. in the RMB$48 billion sale of 80% stake to Kingsoft Cloud Holdings Limited (NASDAQ: KC). *
- Viking Cruises, Ltd. (Bermuda) in a joint venture with China Merchants Shekou Industries Zone Holding Co. Ltd. in building a cruise line in China. *
- Sinopec in its pipeline assets disposal to PipeChina with respect to U.S. listing compliance aspects. *
- Leading Smart Holding Limited in its Series E+ equity financing, a series of spin-off transactions, its Series F-1 & Series F-2 convertible bond financings, Series F-3 equity financing and other general corporate matters. *
Going-Private Acquisitions
- A buyer group including the management, Tenzing Holdings 2011 Ltd., Sino Avenue Limited, GGV Capital, IDG Capital, Trustbridge Partners and CMC Capital Partners, in their going-private acquisition of LAIX Inc. (OTC: LAIXY) at an equity value of US$6.8 million. *
- A buyer group in its proposed going-private acquisition of Tarena International, Inc. (NASDAQ: TEDU) at an equity value of US$230 million. *
- Ascendent Capital Partners in its proposed going-private acquisition of HollySys Automation Technologies (NASDAQ: HOLI). *
- The independent board committee of Wanda Sports Group Company Limited (NASDAQ: WSG) in the acquisition by Wanda Sports & Media (Hong Kong) Holding Co. Limited of the remaining 28% stake in Wanda Sports Group for US$105 million. *
- A buyer group including the management in their going-private acquisition of Yintech Investment Holdings Limited (NASDAQ: YIN) at the equity value of US$540 million. *
- A buyer group in the going-private acquisition of Fuling Global Inc. (NASDAQ: FORK) following its merger with Fuling ParentCo Inc. *

- Hony Capital Acquisition Corp. in its proposed US$300 million initial public offering of units consisting of one Class A ordinary share and one-half of one redeemable warrant. *
