Overview
Philip is an associate in the Mergers and Acquisitions Practice Group in the Firm's Houston office. His practice focuses on domestic and cross-border mergers and acquisitions, private investments and corporate governance matters. His experience includes complex business combinations, reverse listings through special purpose acquisition vehicles (SPACs), restructurings and asset sales, across a wide range of industries including technology, infrastructure, energy (conventional and renewable) and healthcare.
Experience
Recent matters include the representation of:
Macquarie Infrastructure Corporation (MIC) in its $4.5 billion sale of Atlantic Aviation, a leading operator of FBOs and aviation infrastructure in the US.
Cobepa S.A. in the acquisition of MicroConstants Inc., a San Diego-based contract research organization, by BioAgilytix Labs, LLC, a portfolio company of Cobepa.
Inflection Point Acquisition Corp. (NASDAQ: IPAX), a special purpose acquisition company, on its consummation of a US$700 million business combination with Intuitive Machines, LLC, a leading space exploration, infrastructure and services company. Upon the closing of the transaction, the combined company is now named Intuitive Machines Inc.
Ara Partners, an industrial decarbonization-focused private equity fund with US$1.5 billion in assets under management, in its acquisition, restructuring and initial investment of US$75 million in Vonore Fiber Products LLC and Genera Energy Inc., companies in the domestic agricultural pulp and molded fiber industries based in Vonore, Tennessee.
bolttech Holdings Ltd., an international insurtech company, in its US$247 million series B equity financing round, which values bolttech at more than US$1.4 billion.
