Olga Palojärvi advises Finnish and international clients in corporate and financial transactions, including debt finance as well as mergers and acquisitions. Olga's experience includes general bank lending, representing lenders and corporate clients, as well as real estate related transactions.

Prior to joining White & Case in 2022, Olga was an associate at another law firm in Helsinki.

Experience

Representation of Nordea Bank and Pareto Securities, as the joint bookrunners, on the issuances of €340 million 4.75 percent senior secured callable notes due 2026 and €300 million senior secured floating rate notes issued under a framework of EUR 450 million by PHM Group Holding Oyj, a property maintenance and management services group, including tap issues under the notes. The notes were offered in the United States to qualified institutional buyers as defined in, and in reliance on, Rule 144A under the Securities Act and outside the United States in reliance on Regulation S under the Securities Act. The notes are listed on the Open Market at the Frankfurt Stock Exchange and will be listed on Nasdaq Helsinki or another regulated market within twelve months of the issue date. White & Case also represented initially Nordea Bank and subsequently also Deutsche Bank on the €92.5 million super senior revolving credit facility. The notes and the super senior revolving credit facility share security and guarantees provided by PHM Group Holding Oyj and other group companies.

Representation of Sato Oyj, one of Finland's leading housing providers, in connection with an EUR 150,000,000 secured, sustainability linked term loan facility with Legal & General Investment Management's dedicated UK and European Real Estate Debt Division. The loan has a 12-year tenor and will be used for general financing purposes and refinancing existing indebtedness.

Representation of Deutsche Bank, J.P. Morgan and Nordea Bank as Mandated Lead Arrangers, on the issuance by Assemblin of €480 million senior secured floating rate notes due 2029 and the establishment of new €180 million super senior revolving credit and guarantee facilities as well as a new pension guarantee facility. Assemblin is one of the Nordic region's leading providers of complete installation and service solutions, with a primary focus on electrical engineering, heating, sanitation, ventilation and automation.

Representation of Antilooppi Ky, a real-estate investment firm in the Helsinki region, in its financing package, worth over half a billion euros. The financing consist of a ten-year €40 million financing agreement with Nordic Investment Bank to finance the Siltasaari 10's LEED Platinum renovation project and a three-year €528.4 million sustainability-linked financing agreement with Nordea, OP, SEB and Danske Bank covering the majority of the other assets in the portfolio.

Representation of Duell Corporation, a leading powersports gear importer and distributor in Northern Europe, on the amendment and restatement of its existing senior facilities agreement with Nordea Bank Abp. The amended and restated EUR 58,500,000 facilities agreement includes both term and revolving facilities.

Representation of NORD/LB Norddeutsche Landesbank in relation to the financing of the Pajuperänkangas wind farm of ABO Wind AG in North Ostrobothnia, Finland. The wind farm consists of a total of 14 Vestas turbines and achieves an output of 87 megawatts.

Representation of investment firm Triton on its acquisition of a majority share in Esperi Care, a leading residential care provider in Finland and related financing arrangements. The current owners Ilmarinen, Danske Bank and SEB will continue as minority shareholders in partnership with Triton.

Representation of Ahlstrom Munksjö, a global leader in fiber-based materials, on its reorganization of the ownership of its Decor business to a newly formed company that will be named Munksjö.
