Kristo Molina is the Executive Partner of Witara Cakra Advocates (WCA), White & Case's associated law firm in Indonesia. Kristo specializes in equity capital markets and has over 20 years of experience in representing financial institutions and corporates in IPOs, rights issues, merger & acquisition transactions and relevant regulatory matters in Indonesia. Capital Markets

Harita Nickel's IDR 10 trillion IPO
PT Trimegah Bangun Persada Tbk. (Harita Nickel) on its IPO on the Indonesia Stock Exchange (IDX), which included a Rule 144A/3(c)(7) and Regulation S offshore tranche. The transaction raised approximately IDR 10 trillion (US$672 million). This IPO represented the first EV-related IPO in Indonesia, in line with the Indonesian government's plans to capitalize on Indonesia's strategic position as the world's largest nickel producer to encourage the development of a domestic EV industry.

Cinema XXI's US$150 million Indonesian IPO
The joint global coordinators and international selling agents as well as the joint lead domestic underwriters on the IPO of PT Nusantara Sejahtera Raya Tbk ("Cinema XXI") on the IDX, which raised approximately IDR 2.25 trillion (US$150 million) and represented one of the largest IPOs in 2023 from the consumer sector in Indonesia. Cinema XXI is the largest cinema chain operator in Indonesia and its shareholders include an affiliate of GIC Private Limited, Singapore's sovereign wealth fund.

High yield offering guaranteed by PT Medco Energi Internasional Tbk
The initial purchasers in Medco Maple Tree Pte. Ltd.'s issuance of US$500 million Senior Notes, due 2029, with a coupon of 8.960% (under Rule 144A and Regulation S of the United States Securities Act).  The notes were irrevocably guaranteed by PT Medco Energi Internasional Tbk and listed on the Singapore Stock Exchange. The proceeds of the notes will be used for refinance of repay existing indebtedness and potential acquisition of oil and gas asset.

Avian's US$771 million Indonesian IPO
PT Avia Avian Tbk (Avian) and certain selling shareholders, in the IPO of Avian on the IDX, which includes a Rule 144A/Regulation S offshore tranche. The transaction raised approximately IDR10.951 billion (US$771 million). Avian is the market leader in the decorative paint and coating industry in Indonesia.

PT Bukalapak.com Tbk's US$1.5 billion Indonesian IPO
The joint global coordinators, international selling agents and joint lead managing underwriters in the IPO of PT Bukalapak.com Tbk on the IDX, which included a Rule 144A/Regulation S offshore tranche. The transaction raised approximately US$1.5 billion. This deal was named "IPO Deal of the Year" at the ALB Indonesia Law Awards 2022.

PT Bank Rakyat Indonesia (Persero) Tbk's US$6.7 billion rights offering
The international and domestic joint global coordinators in the approximately IDR95.92 trillion (US$6.7 billion) rights issue by PT Bank Rakyat Indonesia (Persero) Tbk., an Indonesian state-owned enterprise. This deal was named "Equity Market Deal of the Year" at the ALB Indonesia Law Awards 2022.

PT Archi Indonesia Tbk's US$194 million Indonesian IPO
The underwriters in the IDR2.79 trillion (approx. US$194 million) IPO of PT Archi Indonesia Tbk, an Indonesian gold mining company, including a Rule 144A/Regulation S offshore tranche. It was the first IPO with an international tranche to be conducted using the new e-book build system on the IDX platform.

LMIRT Capital's Regulation S senior notes offering
The joint lead managers in LMIRT Capital Pte. Ltd.'s Regulation S offering of US$250 million 7.25% Senior Guaranteed Notes due 2024. LMIRT Capital Pte. Ltd. is a subsidiary of Lippo Malls Indonesia Retail Trust ("LMIRT"). The Notes are guaranteed by Perpetual (Asia) Limited, as the trustee of LMIRT.

Secondary offering of shares in PT MAP Aktif Adiperkasa Tbk
The joint global coordinators and joint bookrunners in the secondary offering of ordinary shares in PT MAP Aktif Adiperkasa Tbk, a company listed on the IDX, with an offer price of IDR 6,500 per share (total offering size of IDR 4.15 trillion or approximately US$291 million), by a selling shareholder.
