Overview
Klaudia Pacocha specializes in corporate law, with experience in mergers and acquisitions and capital markets transactions.
In her practice, Klaudia has conducted comprehensive due diligence reviews and participated in M&A transactions, which involved the preparation of transaction documentation. Her experience also includes other corporate law related matters, such as corporate governance issues and ongoing corporate advisory services.
She has also advised in connection with public offerings of shares and bond issuances, including in relation to disclosure obligations.
Experience
The transactions she has worked on include, among others:
Pelion S.A.: representation of Pelion S.A., the leading Polish company providing services covering all sectors of the pharmaceutical distribution market, on a €25 million equity investment from the EBRD, through a capital increase in Pelion.
XTB S.A.: representation of XX ZW Investment Group S.A., the majority shareholder in XTB S.A., on the PLN 482 million (€111 million) sale of a portion of its shares in XTB through an ABB process. White & Case acted as exclusive transaction advisor. XTB is one of the largest global brokers of FX & CFD contracts listed on the WSE.
SigmaRoc: representation of SigmaRoc, an AIM-listed specialist quarried materials group, on the Polish law issues regarding the €1.1 billion acquisition of certain European lime businesses from CRH listed on the NYSE with a market cap of approx. £35 billion. Under this deal, SigmaRoc has acquired lime businesses in Germany, the Czech Republic and Ireland, and has also acquired the right to purchase certain UK and Polish lime operations of CRH.
Murapol S.A.: representation of the managers on the PLN 404 million IPO (Regulation S) and admission to trading of shares in Murapol S.A., one of the largest residential developers in Poland, on the regulated market of the WSE – the only IPO on the WSE in 2023 (Regulation S).
Hanwha Aerospace Co., Ltd.: representation of Hanwha Aerospace, the largest defence company in South Korea, on its second executive contract with the Polish Treasury under a framework agreement for the supply of K9 self-propelled howitzers to the Polish Army. The US$2.6 billion agreement includes the acquisition of six K9A1 self-propelled howitzers in 2025, followed by 146 K9PL self-propelled howitzers between 2026 and 2027.
