Overview
Judah Frogel is a partner in White & Case's Debt Finance practice, based in New York. Judah represents investment and commercial banks, private credit lenders, private equity sponsors, and corporate borrowers, in a wide variety of financing transactions including leveraged loan financings, acquisition financings, general corporate financings, financial restructurings, asset based financings, and real estate financings.
Experience
Representation of the joint lead arrangers, joint bookrunners and administrative agent on an asset-based revolving credit facility in connection with the acquisition of TricorBraun Holdings, Inc. by AOT Packaging Products AcquisitionCo, a portfolio company of Ares Management Corporation’s Private Equity Group and Ontario Teacher's Pension Plan Board.
Representation of Apollo Global Management, Inc. (NYSE: APO) in connection with its multi-billion-dollar cross border asset-backed lending package to finance the acquisition of Tech Data Corporation (Nasdaq: TECD), an international technology products and services distributor. The financing package, totaling over US$4.8 billion, consisted of a US$2.8 billion revolving credit facility, a US$1.7 billion term loan, and a US$370 million FILO term loan.
Representation of WillScot Corporation (Nasdaq: WSC), a leading specialty rental services provider of innovative modular space and portable storage solutions across North America, through its subsidiary, Williams Scotsman International, Inc., in connection with the issuance of US$650 million in aggregate principal amount of senior secured notes due 2025 and financing commitments for and entry into a new US$2.4 billion asset-based revolving credit facility in connection with its combination with Mobile Mini, Inc. (Nasdaq: MINI), a leading provider of portable storage solutions serving customers in the United States, United Kingdom and Canada. The transaction was awarded The Deal 2021: Energy & Industrials Deal of the Year (Large Cap).
Representation of joint lead arrangers including BofA, UBS, Credit Suisse and Nomura in connection with the acquisition financing of SRS Distribution Inc. by Leonard Green & Partners. The financing consisted of a US$1.33 billion term loan facility, a US$400 million asset-based revolving credit facility and a Rule 144A offering by SRS Distribution Inc. of US$350 million aggregate principal amount of 8.250% senior notes due 2026. Subsequently, the joint lead arrangers in connection with a US$250 million incremental term loan B financing, the proceeds of which were applied, in part, to repay outstanding revolving loans under the ABL facility and to fund future acquisitions.
