Biography
Overview
Jennifer is an associate in the Mergers & Acquisitions Practice Group, resident in the Firm's New York office. Jennifer represents corporate clients and private equity funds in connection with mergers, acquisitions and investments across various industries.
Prior to joining White & Case, Jennifer focused her practice on private equity fund formation and general corporate matters in the New York and London offices of another global law firm.
Experience
Representation of EchoStar Corporation on its entry into a definitive agreement to combine with DISH Network in an all-stock merger at a fixed exchange ratio.
Representation of Altria Group, Inc. in its acquisition of NJOY Holdings, Inc., giving Altria ownership of NJOY's e-vapor product portfolio, for US$2.75 billion in cash payable at closing with an additional US$500 million in cash payments that are contingent upon regulatory outcomes with respect to certain NJOY products.
Representation of Falcon's Beyond Global, LLC, a leading fully integrated global entertainment development company specializing in intellectual property creation and expansion, in its merger with FAST Acquisition Corp. II (NYSE: FZT), a SPAC. Upon completion of the proposed business combination, the new combined company will change its name to "Falcon's Beyond Global" and is expected to be listed on Nasdaq under the ticker symbol "FBYD."
Representation of electric commercial vehicle company VIA Motors International, Inc. on its acquisition (in an all-stock merger valued at up to US$630 million) by Ideanomics, Inc., a global company focused on driving the adoption of commercial electric vehicles and associated energy consumption.
Representation of Sole Source Capital LLC, an industrial-focused private equity firm, in its acquisition of:
- Lee Fish USA, a premium importer and value-added distributor of fresh and frozen seafood; and
- I.D. Images, a manufacturer of high-quality durable and graphic intensive labels.
Representation of Cobepa S.A. in the acquisition of MicroConstants Inc., a San Diego-based contract research organization, by BioAgilytix Labs, LLC, a portfolio company of Cobepa.
