Biography
Overview
Jennifer Iacono is a partner in the Firm's Real Estate Industry Group and Mergers & Acquisitions practice group, based in the New York office.
Jennifer's practice focuses on the full spectrum of financing and restructuring transactions, including CMBS loans, balance sheet loans, construction loans, and mezzanine loans, as well as the acquisition and disposition of assets. Drawing on an expansive range of experience, Jennifer regularly advises a broad range of private equity funds, developers, real estate investment trusts (REITs) and public companies as well as investors in the acquisition, development and operation of commercial properties and derivative real estate products. Her experience includes transactions across a variety of asset classes, such as multifamily, data centers, office, industrial, retail and hospitality.
Jennifer has a particular focus on data centers and advises lenders and developers in relation to real estate related concerns with respect to this asset class, such as zoning and land use regulations, permitting, leasing, and availability of power supply in connection with a broad spectrum of financing arrangements.
Jennifer was listed as a Rising Star for New York Real Estate by SuperLawyers from 2016-2019.
Prior to joining White & Case Jennifer was counsel in the real estate practice of a large international law firm.
Experience
Data Centers
- Representation of First-Citizens Bank & Trust Company, as Administrative Agent, Collateral Agent, and Lender, in connection with a US$350 million term loan facility provided to STACK Infrastructure. Proceeds from the loan were used for the construction of a data center located in Northern Virginia. Backed by IPI Partners, STACK Infrastructure owns and operates data centers in the Americas, Asia Pacific, and Europe.
- Representation of Retained Vantage Data Centers Development, LLC, a leading global provider of hyperscale data center campuses and wholesale data center infrastructure to large enterprises and hyperscale cloud providers, as Borrower, in connection with a US$3 billion revolving credit facility. The financing will be used to repay debt and fund the acquisition of assets, constructions costs and the development of land and data centers.
- Borrower-side representation of a leading global provider of hyperscale data center campuses in connection with financing the construction of its shell and core infrastructure and IT capacity. The financing involved a senior secured multi-draw term loan facility.
- Representation of Chirisa Volo LLC in connection with a term loan financing provided by Crestline Direct Finance, L.P. for purposes of funding refurbishment project costs at its Volo, Illinois data center facility.
- Representation of CDPQ as lender in connection with a term loan to an SPV. The financing involved US$121 million, the proceeds of which are to be used for an acquisition of a data center.
- Representation of Vantage Data Centers LLC, an international data center developer, as Borrower, in connection with an amendment to an existing US$68 million facility with Société Générale as Administrative and Collateral Agent.
- Representation of a subsidiary of a leading provider of wholesale data center infrastructure to large enterprises and hyperscale cloud providers, as a Borrower in the financing of a construction project. The borrowing was used towards the construction of a data center in Santa Clara, CA and certain improvements thereto. The loan is evidenced by Notes, which were in part secured by the Security Instrument encumbering certain real property and improvements.
