Overview

Evgeny Scirtò Ostrovskiy is a dual qualified lawyer (Italy and US) with more than 10 year of experience advising issuers, sponsors and investment banks on high profile capital markets transactions. Evgeny's practice covers the whole spectrum of debt capital markets products including investment and sub-investment grade issuances, with particular focus on high yield bonds, liability management transactions and private placements. He also advises clients in relation to equity capital markets transactions including on initial public offerings and private placements.

In addition, Evgeny provides assistance to companies and investment banks in relation financial restructuring transactions and refinancing procedures.

CEME's €360 million high yield, 2024
Evgeny advised a pool of banks led by Goldman Sachs International and UniCredit, as initial purchasers, in connection with the debut issuance of €360 million senior secured floating rate high yield notes due 2031 by CEME S.p.A., portfolio company of InvestIndustrial and global leader in the production of vibration pumps and solenoid valves. The notes have been offered and sold pursuant to Rule 144A and Regulation S under the US Securities Act listed on the Luxembourg Stock Exchange and admitted to trading on the Euro MTF market.

IGT's €500 million high yield, 2024
Evgeny advised International Game Technology PLC in connection with the issuance of its €500 million 4.250% senior secured notes due 2030. The notes have been offered and sold pursuant to Rule 144A and Regulation S under the US Securities Act, listed on the Official List of Euronext Dublin and admitted to trading on the Global Exchange Market of Euronext Dublin.

Rino Mastrotto Group's €320 million high yield, 2024
Evgeny advised Rino Mastrotto Group S.p.A., a portfolio company of NB Renaissance, a leading supplier of leather, textile and high value added services to luxury clients, in connection with its debut issuance of €320 million senior secured floating high yield notes, issued pursuant to Rule 144A and Regulation S under the US Securities Act and listed on the Luxembourg Stock Exchange's Euro MTF market.

Rossini's €1.850 billion high yield, 2024
Evgeny advised Rossini S.à r.l., the investment holding company indirectly controlled by CVC Capital Partners that owns 52.51 percent of the share capital of Recordati S.p.A., in connection with the issuance of €1.850 billion high yield bond, issued pursuant to Rule 144A and Regulation S under the US Securities Act and listed on the Luxembourg Stock Exchange's multilateral trading facility market. The issuance consists of two tranches: €1 billion 6.750% senior secured fixed rate notes due 2029; and €850 million senior secured floating rate notes due 2029.

I.M.A.'s €450 million high yield, 2024
Evgeny advised I.M.A. Industria Macchine Automatiche S.p.A., one of the leading companies in the automated solutions for packaging industry, in connection with the issuance of €450 million senior secured floating rate high yield notes due 2029, as well as on the €25 million upsizing of its revolving credit facility.

Neopharmed Gentili's €750 million high yield, 2024
Evgeny advised Neopharmed Gentili, a portfolio company of Ardian and NB Renaissance and a leading Italian primary care pharmaceutical company, in connection with the issuance of €750 million senior secured fixed and floating rate notes as well as entry into a €130 million revolving credit facility.

I.M.A.'s investment from BDT & MSD Partners, 2023
Evgeny advised I.M.A. Industria Macchine Automatiche S.p.A. and its controlling shareholders in connection with the finance aspects of an investment from BDT & MSD Partners. BDT & MSD Partners acquires its stake from international private equity fund BC Partners.

Eni's US$4.9 billion acquisition of Neptune, 2023
Evgeny advised Eni S.p.A. in connection with the finance aspects of its acquisition of Neptune Energy Group Limited, a leading independent exploration and production company with a portfolio of gas-oriented assets and operations in Western Europe, North Africa, Indonesia and Australia, for a total value of US$4.9 billion.

Piaggio's €250 million high yield, 2023
Evgeny advised Piaggio & C. S.p.A. in connection with the issuance of €250 million, 6.5% senior unsecured notes due 2030. The notes have been offered and sold pursuant to Rule 144A and Regulation S under the US Securities Act and listed on the Luxembourg Stock Exchange. Proceeds of the notes have been used to refinance Piaggio's outstanding €250 million senior notes due 2025 issued in 2018.

F.I.S. - Fabbrica Italiana Sintetici's €350 million sustainability-linked high yield, 2022
Evgeny advised BNP Paribas and Credit Suisse, as joint global coordinators and joint physical bookrunners, and Banca Akros S.p.A. - Gruppo Banco BPM, IMI - Intesa Sanpaolo and UniCredit, as joint bookrunners, in connection with the debut issuance of €350 million sustainability-linked 5.625% senior secured notes due 2027 by F.I.S. - Fabbrica Italiana Sintetici S.p.A. The notes were offered and sold pursuant to Rule 144A and Regulation S under the US Securities Act and listed on the Official List of the Luxembourg Stock Exchange and admitted to trading on the Euro MTF market.

Nexi's €2.1 billion high yield for the Nets-SIA mergers*
Evgeny advised Nexi S.p.A. in connection with the issuance of €2.1 billion high yield notes as part of the financing for the proposed mergers of Nexi with Nets and SIA.

Evgeny advised the joint bookrunners in connection with Eni's US$2.25 billion yankee bond issuance. The issuance consists of US$1 billion 5.5% notes due 2034 and US$1.25 billion 5.95% notes due 2054, issued pursuant to Rule 144A and Regulation S under the US Securities Act.

Intesa Sanpaolo's US$3 billion Yankee bonds issuance, 2023
Evgeny advised Intesa Sanpaolo S.p.A. in connection with a US$3 billion notes issuance under its recently updated $50 billion Medium Term Note Programme. The issuance consists of two tranches: the first US$1.5 billion 7.200% unsubordinated preferred notes due 2033 and the second US$1.5 billion 7.800% unsubordinated preferred notes due 2053, issued pursuant to Rule 144A and Regulation S under the US Securities Act.

ASR Media and Sponsorship S.r.l.'s €175 million US Private Placement, 2022
Evgeny advised ASR Media and Sponsorship S.r.l., a special purpose entity that holds the media, broadcast and sponsorship rights of the Italian football club AS Roma, in connection with its €175 million senior secured notes due 2027, which were sold through a private placement to U.S. institutional investors.

Intesa Sanpaolo's US$2 billion Yankee bonds issuance, 2022
Evgeny advised Intesa Sanpaolo S.p.A. in connection with a US$2 billion Yankee bonds issuance under its recently updated US$50 billion Medium Term Note Programme. The issuance consists of (i) US$750 million 7.000% unsubordinated preferred notes due 2025 and (ii) US$1.25 billion 8.248% fixed rate resettable unsubordinated non-preferred notes due 2033, issued pursuant to Rule 144A and Regulation S under the US Securities Act.

Evgeny advised Enel Group in connection with a US$4 billion issuance of Yankee bonds.
