Overview
Elle is an associate in the Capital Markets practice group and is resident in the New York office. She has represented clients in a range of capital markets transactions, including various derivatives matters, spanning both transactional and regulatory issues, and debt offerings. Her experience also includes assisting in structured finance and securities transactions.

Representation of Jefferies LLC as initial purchaser and representative of the several initial purchasers in a Rule 144A and Regulation S offering by Everi Holdings Inc. (NYSE: EVRI) (the ""Company""), a premier single-source provider of gaming products, financial technology and player loyalty solutions in the gaming industry, of US$400 million aggregate principal amount of the Company's 5.000% Senior Unsecured Notes Due 2029 (the ""Notes""). The Notes were guaranteed on a senior unsecured basis by certain of the Company's direct and indirect domestic subsidiaries. The transaction invovled coordinated marketing, syndication and execution efforts as the Company concurrently launched a new credit facilty. The Company used cash on hand, the proceeds from the Notes and the proceeds from the new credit facility to repay all borrowings under the Company's existing credit facilities.
Representation of NRG Energy, Inc. (""NRG"") in connection with the offering by Alexander Funding Trust II, a newly-formed Delaware statutory trust (the "Trust"), of Pre-Capitalized Trust Securities Redeemable 2028 (the ""P-Caps"") to certain qualified institutional buyers for an initial purchase price of US$500 million. The Trust invested the proceeds from the sale of the P-Caps in a portfolio of principal and/or interest strips of U.S. Treasury securities and entered into a facility agreement with NRG, pursuant to which NRG agreed to issue 7.467% senior secured notes due 2028 to the Trust under certain circumstances. The P-Caps are a highly structured capital markets product that provides NRG with approximately $500.0 million of letter of credit capacity.
