Biography

Overview

Adam Marszałek focuses his practice on capital market transactions and corporate law, with a particular focus on initial and secondary offerings and mergers and acquisitions transactions for Polish and international clients.

He also supports public companies in complying with their information obligations under the Market Abuse Regulation.

Before joining White & Case, Adam gained experienced in several leading international law firms in Poland. In 2020, Adam was on a half-year secondment, during which he advised the Allegro group on the biggest stock exchange debut in the history of the Polish capital market.

Experience

His recent experience includes participation in the following projects:

Pracuj.pl: representation of Grupa Pracuj S.A., the leading HR technology platform in Central and Eastern Europe, on its IPO on the regulated market of the Warsaw Stock Exchange (in accordance with Regulation S and Rule 144A). The total value of shares sold via the IPO was PLN 1.12 billion.

PPF Group, EC Investments and Rockaway Capital: representation of the PPF Group, EC Investments and Rockaway Capital in connection with the €881 million sale of the e-commerce assets of the Mall Group and the logistics assets of WE|DO to Allegro The sold business includes assets in the Czech Republic, Hungary, Slovenia, Croatia and Poland.

Liberty Group: representation of Liberty Global, one of the world's leading converged video, broadband and mobile communications companies, on the signing of an agreement with iliad S.A. for the sale of 100% of the share capital in Polish cable operator UPC Poland to iliad's Polish mobile subsidiary Play for an enterprise value of US$1.8 billion.

Allegro Group: representing the Allegro Group, the largest e-commerce company in Poland, on the initial public offering and admission of its shares to trading on the regulated market of the Warsaw Stock Exchange. It was the biggest IPO in the history of the Polish capital market*;

Dom Maklerski PKO BP, mBank, Wood & Company: representing Dom Maklerski PKO BP, mBank and Wood & Company in connection with the initial public offering of Shoper and the admission and introduction of that company's shares to trading on the regulated market of the Warsaw Stock Exchange*;

Metalkas: representing Metalkas on the initial public offering and admission of its shares to trading on the regulated market of the Warsaw Stock Exchange*;

BEWi Group: representing BEWi Group on the acquisition of the majority holding in IZOBLOK, a company listed on the Warsaw Stock Exchange (WSE)*;

Dadelo: representing Dadelo on the initial public offering and admission of its shares to trading on the regulated market of the Warsaw Stock Exchange (value: PLN 82.8 million)*;

Polnord: representing Polnord, a company listed on the Warsaw Stock Exchange, in connection with the public offering of shares to selected investors (value: PLN 132 million) and the acquisition of a new strategic investor,  Cordia International*;

Trakcja: representing Trakcja, a company listed on the Warsaw Stock Exchange (WSE), in connection with a public offering (including negotiations to obtain a strategic investor, the Industrial Development Agency, acting as anchor investor). It was the largest and most complex financial restructuring on the Polish capital market implemented in recent years (value: PLN 1.2 billion)*;

A consortium of banks: representing mBank, DM Mercurius, and Dom Maklerski PKO BP, acting as global coordinators and joint book-runners in the sale of the minority shareholding of FAMUR by the majority shareholder in the form of an offer on the WSE. Transaction value: PLN 535 million. It was the biggest ABB transaction in 2017 in Poland*; 

A consortium of banks: representing Dom Maklerski PKO BP, Trigon Dom Maklerski and Swedbank, acting as manager of the initial public offering and dual listing (on the WSE and Nasdaq) of Novaturas (a portfolio company of Enterprise investors). Value of the offer: PLN 344 million)*;

RAFAKO: representing RAFAKO on the public offering of shares and the negotiation of transaction documentation with PFR (value: PLN 182 million). PFR took up 10% of the company's shares, the offer managers: Dom Maklerski PKO BP and Trigon Dom Maklerski*; 

Erste Group Bank: representing Erste Group Bank, acting as an offer manager and a global coordinator, in a transaction involving a leading shareholder's disposal of a qualifying holding of Kofola Ceskoslovensko's shares in an accelerated book building process*;

Selling shareholders and the issuer: representation of the selling shareholders and  the issuer in the IPO of a company in the manufacturing process automation industry (transaction suspended, offer manager: Dom Maklerski PKO BP)*;

Selling shareholders and jewelry companies: representation of the selling shareholders and jewelry companies in a planned IPO (suspended transaction, offer managers: Dom Maklerski PKO BP and Trigon Dom Maklerski)*; 

Managers: representation of the several offer managers (Dom Maklerski PKO BP and mBank) on the IPO of Konsalnet Holding (a portfolio company of Value4Capital; the transaction was not carried out despite its advanced stage; the prospectus was submitted to the Polish Financial Supervision Authority)*;
