White & Case Advises Peugeot S.A. on Noteholders' Consent Solicitation to Approve Merger with FCA

Global law firm White & Case LLP has advised Peugeot S.A. on a consent solicitation of the noteholders of several series of notes, issued under Peugeot S.A's EMTN Programme, to obtain their approval of the merger of Peugeot S.A. with Fiat Chrysler Automobiles N.V. (FCA) to become Stellantis, upon completion of the transaction.
On Friday 13 November, Peugeot S.A. announced that the consent solicitation had been successful, with the required consents under each series of notes received with a very large majority. The completion of the merger is expected to take place by the end of the first quarter of 2021 and is subject to customary closing conditions, including approval by both companies' shareholders at their respective Extraordinary General Meetings and the satisfaction of antitrust and other regulatory requirements.
