Global law firm White & Case LLP has advised Intesa Sanpaolo on the update of its US Commercial Paper Program with a maximum total value of US$40 billion.
Under the program, notes are issued by Intesa Sanpaolo Funding LLC, a Delaware limited liability company, and guaranteed by Intesa Sanpaolo S.p.A., an Italian società per azioni. The notes issued will be offered and sold exclusively to institutional investors and other entities that normally purchase short term commercial paper in the US commercial paper market and are exempt from registration under the Securities Act of 1933.
The White & Case team that advised on the transaction included partners Michael Immordino (London & Milan) and Ferigo Foscari (Milan), counsel Henrikki Harsu (New York), associates Pietro Magnaghi, John Sanders and Lorenza Fici (all Milan) and lawyer Riccardo Viel (Milan).
