Global law firm White & Case LLP has advised Casino Guichard Perrachon Group on the clearance by the COMESA Competition Commission and the French Competition Authority of the sale of its Reunionese subsidiary Vindémia, which groups together all its distribution activities in the Indian Ocean, to Groupe Bernard Hayot.
The deal constitutes the largest merger and acquisition transaction, in terms of turnover, examined by the French Competition Authority overseas to date.
The authorisation granted by the French Competition Authority is subject to several undertakings from the purchaser and in particular is subject to the resale of four food-dominated distribution businesses linked to the operation of hypermarkets located on Reunion Island to a new entrant, Make Distribution, under the "fix it first" procedure. The transaction was authorized by the French Competition Authority on 26 May 2020. Groupe Bernard Hayot will also resell two supermarkets on Reunion Island to Ah Tak under the same "fix it first" procedure.
The White & Case team in Paris which advised on the transaction was led by partner Yann Utzschneider, with support from counsel Mickael Rivollier and associate Julie Ernewein.
