While the German Stock Corporation Act (AktG) turns 60 this year, the German stock corporation is at risk of falling behind internationally: limited flexibility to design its corporate governance, a mandatory two-tier board and a need to reform the approach to challenge shareholders resolutions to strengthen the annual general meeting as a forum of important shareholder decisions.
